2. Business Relationship

Xibo Floral is a professional manufacturer of artificial flower products. All transactions conducted through our Site are Business-to-Business (B2B) transactions. By placing an order, you represent that you are a business entity, wholesaler, retailer, event planner, or commercial purchaser, and not a consumer purchasing for personal use.

3. Products and Pricing

• Product Descriptions: We strive to accurately display product colors, sizes, and materials. However, actual colors may vary slightly due to screen settings and lighting conditions.
• Pricing: All prices are quoted in USD unless otherwise stated. Prices are subject to change without notice. The price confirmed at the time of order will be honored.
• Minimum Order Quantity (MOQ): MOQ requirements are clearly stated on product pages or in our quotations. Custom orders may have different MOQ requirements.
• Quotations: All quotations provided by Xibo Floral are valid for 7 days unless otherwise specified.

4. Orders and Acceptance

• Order Placement: Orders can be placed through our website, email, or direct communication with our sales team.
• Order Confirmation: All orders are subject to our acceptance and confirmation. We reserve the right to refuse or cancel any order for any reason, including product availability, pricing errors, or suspected fraud.
• Custom Orders: Custom/OEM orders require a deposit (typically 30%-50%) before production begins. Custom orders are non-cancellable and non-refundable once production has commenced.
• Sample Orders: Samples are available upon request. Sample fees may apply and are refundable with a qualifying bulk order.

5. Payment Terms

• Payment Methods: We accept bank wire transfers, PayPal, and other payment methods as agreed.
• Payment Schedule: Standard terms are 30% deposit upfront and 70% balance before shipment. Alternative terms may be negotiated for established partners.
• Late Payments: Late payments may incur interest charges and delays in order processing and shipment.

6. Shipping and Delivery

• Shipping Methods: We offer sea freight, air freight, and express shipping options. The customer chooses the preferred method at checkout or in the quotation.
• Shipping Costs: Shipping costs are calculated based on weight, volume, and destination. A shipping quote will be provided before order confirmation.
• Delivery Times: Delivery times are estimates and not guaranteed. Delays caused by customs, weather, or carrier issues are beyond our control.
• Title and Risk: Title and risk of loss transfer to the customer upon delivery to the carrier (FOB shipping point).

7. Return and Refund Policy

• Standard Products: Returns are accepted within 14 days of receipt for unused products in original packaging. Return shipping costs are the customer's responsibility. A restocking fee of up to 25% may apply.
• Custom Products: Custom/OEM products are NON-RETURNABLE and NON-REFUNDABLE unless there is a verified manufacturing defect. This includes custom colors, sizes, shapes, packaging, and branded items.
• Damaged or Defective Products: Claims for damage or defects must be reported within 48 hours of delivery with photographic evidence. We will assess the claim and provide replacement or compensation.
• Disputes: All disputes are governed by the laws of the People's Republic of China and shall be resolved through negotiation or arbitration in Zhengzhou, China.

8. Intellectual Property

• Ownership: All content on our Site, including text, images, logos, product designs, and graphics, is the property of Xibo Floral and is protected by copyright and intellectual property laws.
• Permitted Use: You may view and download content for personal or business use related to your interaction with us. You may NOT copy, reproduce, distribute, or create derivative works without our explicit written permission.
• Trademarks: All trademarks, logos, and service marks displayed on our Site are the property of Xibo Floral or their respective owners.

9. Customer Responsibilities

• Accuracy of Information: You are responsible for providing accurate and complete information when placing orders or inquiries.
• Compliance with Laws: You are responsible for ensuring that your use of our products and services complies with all applicable laws and regulations in your jurisdiction.
• Account Security: If you have an account on our Site, you are responsible for maintaining the confidentiality of your login credentials.

11. Force Majeure

Xibo Floral shall not be liable for any delay or failure to perform obligations due to causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, labor disputes, transportation delays, or supplier disruptions.

13. Governing Law and Dispute Resolution

• Governing Law: These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China.
• Dispute Resolution: Any dispute arising from these Terms or your use of our Site shall first be attempted to be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the arbitration commission in Zhengzhou, China, or to the competent courts in Zhengzhou.
• International Customers: For international customers, we agree to resolve disputes through mediation and arbitration in good faith before any legal action.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xibo Floral regarding your use of our Site and any orders placed.
